5. Consulting Engagements

5.1 Formation of an engagement. Nothing on this Website constitutes a binding offer of consulting services. A consulting engagement with SSDE begins only when both parties agree to and sign a formal Scope of Work (SoW), proposal, or engagement letter setting out deliverables, timelines, and fees.

5.2 Discovery calls. Initial discovery calls are provided for the purpose of assessing project fit and are not, by themselves, a commitment by either party to proceed with a paid engagement.

5.3 Client responsibilities. You agree to provide accurate, complete, and timely information, data, and access reasonably required for us to perform the agreed services. Delays or inaccuracies in information provided by you may affect timelines and deliverables, and SSDE is not liable for resulting delays.

5.4 Fees and payment. Fees, payment schedules, and invoicing terms will be set out in the applicable proposal or SoW. Unless otherwise agreed in writing, invoices are payable within the timeframe specified in the engagement letter. Late payments may attract interest or suspension of services, as specified in the relevant agreement.

5.5 Confidentiality. Any proprietary, technical, or business information shared by the client during an engagement will be treated as confidential and used solely for the purpose of the engagement, subject to the terms of any Non-Disclosure Agreement (NDA) executed between the parties. Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

5.6 Intellectual property arising from engagements. Ownership of deliverables, reports, and any intellectual property arising from a consulting engagement will be governed by the terms agreed in the relevant SoW or engagement letter. In the absence of specific agreement, SSDE retains ownership of its pre-existing methodologies, tools, and general know-how, while client-specific data and deliverables prepared for the client are provided for the client's use as set out in the engagement terms.
